3.1 Permitted use

You may use our services for lawful business purposes. You agree not to:

  • Use our services to harm, defraud, or deceive any third party
  • Reverse engineer, copy, or redistribute any FuturestaQ product or its underlying AI models
  • Use our platforms to send spam, violate LinkedIn's terms of service, or engage in deceptive outreach
  • Attempt to gain unauthorised access to our systems, databases, or other clients' data
  • Use Vellix, GuardProbe, or other tools to attack, probe, or stress-test systems you do not own or have permission to test
  • Resell or white-label FuturestaQ products without a signed reseller agreement

3.2 Account responsibility

You are responsible for maintaining the security of your login credentials for any FuturestaQ platform. You must notify us immediately at team@futurestaq.com if you suspect unauthorised access.

4. Consulting Engagements

4.1 Statement of Work

All consulting engagements are governed by a Statement of Work (SOW) or the Master Services Agreement (MSA) separately agreed with each client. These Terms form the baseline; the SOW governs specific deliverables, timelines, and fees.

4.2 Service commencement

Consulting work begins upon receipt of full payment or the first instalment as specified in the SOW. Timelines quoted (e.g., "48-hour audit delivery") are conditional on the client providing required access, documentation, and responses within 24 hours of request.

4.3 Client obligations

Clients must provide accurate information, timely access to relevant systems, and feedback within agreed windows. Delays caused by the client's failure to respond may affect delivery timelines without affecting FuturestaQ's fee entitlement.

5. Intellectual Property

5.1 FuturestaQ IP

All content on futurestaq.com and across FuturestaQ products — including the R3 reliability framework, Vellix's test generation methodology, GuardProbe's testing approaches, and all source code, documentation, training materials, and brand assets — are the exclusive intellectual property of FuturestaQ. You may not copy, reproduce, modify, or distribute any of these without prior written consent.

5.2 Work product ownership

For custom consulting deliverables (reports, test suites, code, documentation) created specifically for a client under a paid engagement, ownership transfers to the client upon receipt of full payment. FuturestaQ retains the right to use anonymised learnings, methodologies, and aggregate insights for product improvement and content marketing.

5.3 AI-generated content

Our products use AI models including Anthropic Claude. Content generated through our tools is provided to you under these Terms, but we do not guarantee that AI-generated output is free from third-party intellectual property claims. You are responsible for reviewing AI-generated content before use.

5.4 Trademark

FuturestaQ®, Vellix, GuardProbe, ImpersonIQ, ContentStaq, SalesStaq, LinkedInStaq, and YoutubeStaq are trademarks or trading names of FuturestaQ. You may not use these names in any way that implies endorsement or affiliation without written permission.

6. Payment Terms

  • Invoices are due as specified in each SOW — typically 50% upfront and 50% on delivery for project work, or on the 1st of each month for retainers
  • Late payments accrue interest at 2% per month after 14 days past the due date
  • Currency: INR via Razorpay, USD via Stripe or Wise, as agreed per engagement
  • Taxes: All fees are exclusive of applicable GST or other taxes, which will be added to invoices as required
  • Services may be paused or terminated if payment is not received within 7 days of due date for retainer engagements

For our refund policy, please see the Refund Policy.

7. Confidentiality

Both FuturestaQ and the client agree to keep confidential all non-public information exchanged during an engagement. This includes business strategy, technical architecture, financial data, customer data, and investor information. This obligation survives termination of the engagement for three (3) years. FuturestaQ may reference the client by name as a client (not revealing confidential details) unless the client requests otherwise in writing.

8. Non-Solicitation

During any active engagement and for 12 months following termination, you agree not to directly solicit, recruit, or hire any FuturestaQ employee, contractor, or team member who worked on your engagement. This applies to all forms of employment, consulting, or advisory arrangements.

9. Limitation of Liability

To the maximum extent permitted by applicable law: (a) FuturestaQ's total liability for any claim arising from our services is capped at the fees paid in the 30 days prior to the event giving rise to the claim; (b) we are not liable for indirect, consequential, incidental, or punitive damages; (c) we are not liable for delays or failures caused by third-party services (payment gateways, cloud providers, AI model providers) beyond our control.

FuturestaQ does not warrant specific business outcomes — revenue growth, activation rate improvement, or conversion uplift — as these depend on the client implementing our recommendations. We warrant that our work will be performed professionally and in accordance with the agreed SOW.

10. Third-Party Services and AI

Our products and services integrate third-party tools including Anthropic Claude, Supabase, MailerLite, Razorpay, Cashfree, and others. FuturestaQ is not responsible for the availability, accuracy, or conduct of these third-party services. Your use of our products may be subject to the terms of these third-party providers.

FuturestaQ is not officially affiliated with, endorsed by, or a certified partner of Anthropic. We use Anthropic's Claude AI to power certain features of our products.

11. Termination

  • Either party may terminate a consulting engagement with 30 days written notice
  • All fees earned to the termination date are payable within 7 days of notice
  • FuturestaQ may terminate access to any product or service immediately for material breach of these Terms
  • Upon termination, you must cease use of any FuturestaQ platform and delete any proprietary materials provided to you

12. Governing Law and Disputes

These Terms are governed by the laws of Karnataka, India. Disputes will first be addressed through good-faith negotiation (30 days). If unresolved, they will proceed to binding arbitration in Bengaluru under the Arbitration and Conciliation Act, 1996. For international clients, Bengaluru courts serve as the primary forum.

13. Changes to These Terms

We may update these Terms from time to time. Continued use of our services after changes are posted constitutes acceptance of the updated Terms. Material changes will be communicated to active clients via email at least 14 days before taking effect.
